Description:
Job Purpose
The Legal Officer will provide general support to the Legal department with a bias towards Credit support through preparation of security documents, security perfection and recovery of bad debts while ensuring statutory compliance. Assisting in ensuring the security perfection process is carried out diligently by the Bank’s External Lawyers, collateral is verified and perfected pre-disbursement. Assisting the Head Legal & Company Secretary in the identification, resolution and appropriate management of the legal risk within the Bank.

Summary of Key Responsibilities:
• Assisting with the preparation of all collateral documentation and ensuring that they drafted and completed without errors and omissions and are valid and legally binding
• Ensuring accurate and timely drafting of all collateral documentation.
• Ensuring that all collateral documentation has been correctly executed by the authorized signatories and that any collateral documentation requiring registration is accurately and timely registered by the relevant parties.
• Ensuring that a comprehensive diary is kept to follow up on receipt of required collateral i.e. insurance cover, valuations and insurance renewals etc.
• Assisting in ensuring the security perfection process is carried out diligently by the Bank’s External Lawyers, collateral is verified and perfected pre-disbursement.
• Ensuring that all alterations/amendments to all collateral documentation have been verified and authorized in line with the Bank’s internal procedures.
• Ensuring that all credit documentation issued on behalf of the Bank conform to the Bank’s guidelines, and all relevant regulation
• Ensuring that all collateral irregularities are timely addressed, and reports issued to the Head Legal and Company Secretary.
• Ensuring that any deterioration of any security is timed addressed, and reports issued to the Head Legal and Company Secretary.
• Interfacing with the Debt Recovery Manager and the Bank’s External Lawyers to ensure effective management of Debt Recovery litigation.
• Participating in appropriate legal and credit training to improve legal and credit knowledge across the Bank.
• Maintaining complete and accurate records and ensuring efficient filing systems of all records, contracts and collateral documentation.
• Assisting the Head Legal & Company Secretary with all matters under litigation.
• Drafting of Court documents and responding to Court Orders and other court documents within regulatory timeframes.
• Attending to Chamber matters, Open Court hearings and Tribunal hearings on behalf of the Bank.
• Attending to Law Enforcement Agencies and Regulatory bodies on behalf of the Bank.
• Assisting the Head Legal & Company Secretary in monitoring and ensuring all activities and duties comply with regulatory and statutory requirements as well as other legal and relevant developments.

Primary Areas of Accountability:
Qualifications and Experience
• Bachelor’s Degree in Law
• Must have a minimum of at least four (4+) years post qualification experience in a Commercial Bank
• Must have a clear understanding of current Banking Rules and Regulations.
• Must have a clear understanding of security perfection documentation and processes.
• Experience with Acquisitions, Mergers and Commercial agreements transactions and will be a plus
• Demonstrated ability to create legal defensive or proactive strategies
• Computer and numeracy skills, with strong skills required for MS Word/Excel/PowerPoint.
• Sound judgement and ability to analyses situations and information
• Must be a member of LAZ
